Terms of Service

1. About LogiPulse

These Terms of Service govern your access to and use of LogiPulse, a cloud-based software platform operated by Novaire Systems ("Novaire Systems," "we," "us," or "our").

LogiPulse is designed for logistics and transportation businesses and provides tools for managing operational data, customers, vehicles, shipments, trips, workflows, analytics, and related business activities.

By creating an account, accessing LogiPulse, starting a trial, purchasing a subscription, or otherwise using the service, you agree to these Terms.

2. Eligibility

You must have the legal authority to enter into these Terms on behalf of yourself or the organization you represent.

If you create an account for a business or organization, you represent that you are authorized to accept these Terms on its behalf.

LogiPulse is primarily intended for businesses and professional users.

3. Accounts

Certain LogiPulse features require an account.

You are responsible for:

• Providing accurate account information.
• Keeping your login credentials confidential.
• Maintaining the security of your account.
• Preventing unauthorized access to your account.
• Notifying us promptly if you believe your account has been compromised.

4. Free Trials

Eligible paid LogiPulse plans currently include a 14-day free trial.

The applicable trial terms, subscription plan, recurring price, billing interval, and payment requirements are displayed during checkout.

Unless cancelled before the end of the applicable trial period, a trial may automatically convert into a paid subscription according to the plan selected during checkout.

5. Subscriptions and Billing

LogiPulse is offered through recurring subscription plans. Available plans, prices, billing intervals, and included features are displayed on the LogiPulse billing page and during checkout.

Subscriptions may be billed monthly or annually depending on the plan selected.

Payments and recurring subscription transactions for LogiPulse are processed through WayForPay and may be subject to WayForPay's applicable payment processing terms and policies.

WayForPay may process payment information and recurring payment transactions on our behalf. Your use of LogiPulse remains subject to these Terms and our other applicable policies.

Subscription prices may change in the future. Where required by applicable law, customers will receive appropriate notice of material pricing changes.

6. Cancellation

You may cancel your subscription using the available subscription management options provided by LogiPulse or by contacting LogiPulse support.

Unless otherwise required by applicable law, cancellation normally prevents future renewal and takes effect at the end of the current billing period.

Cancellation does not automatically entitle you to a refund for a previously paid subscription period.

Applicable statutory consumer rights remain unaffected.

7. Refunds

Subscription payments are generally non-refundable except where a refund is required by applicable law, required by an applicable payment provider policy, or otherwise approved by Novaire Systems.

8. Acceptable Use

You agree not to use LogiPulse to:

• Violate applicable laws or regulations.
• Commit or facilitate fraudulent activity.
• Attempt to gain unauthorized access to LogiPulse or another user's account.
• Interfere with the security, availability, or operation of the service.
• Introduce malware, viruses, malicious code, or other harmful software.
• Reverse engineer or attempt to obtain source code except where expressly permitted by applicable law.
• Scrape, overload, abuse, or disrupt the LogiPulse service.
• Store or process content that you do not have the legal right to use.
• Use LogiPulse for any purpose prohibited by applicable law or the applicable policies of third-party services used by LogiPulse.

9. Customer Data

You retain ownership of business information and other content that you submit to LogiPulse.

You grant Novaire Systems the limited rights necessary to host, process, transmit, store, and otherwise provide the LogiPulse service.

You are responsible for ensuring that you have the necessary rights and permissions to provide data to LogiPulse.

You should not submit information to LogiPulse that you are legally prohibited from processing or sharing.

10. Privacy

Our collection and use of personal information is described in our Privacy Policy.

11. Intellectual Property

LogiPulse, including its software, interface, design, branding, documentation, and underlying technology, is owned by or licensed to Novaire Systems and is protected by applicable intellectual property laws.

Except for the limited right to use LogiPulse during an active subscription, no ownership rights are transferred to you.

You may not copy, reproduce, distribute, sell, sublicense, or commercially exploit LogiPulse except as expressly permitted by these Terms.

12. Service Availability

We work to keep LogiPulse available and reliable, but we do not guarantee that the service will always be uninterrupted, error-free, or available at all times.

Service availability may be affected by maintenance, upgrades, infrastructure providers, internet connectivity, security incidents, or circumstances outside our reasonable control.

We may temporarily suspend portions of the service when reasonably necessary to protect the service, users, or infrastructure.

13. Third-Party Services

LogiPulse may integrate with or rely upon third-party services, including cloud infrastructure, authentication, payment processing, analytics, communications, and other technologies.

Third-party services may have their own terms and privacy policies. We are not responsible for independent failures or changes to third-party services outside our reasonable control.

14. No Professional Advice

LogiPulse provides software tools for business operations. The service does not constitute legal, financial, accounting, transportation, insurance, regulatory, or other professional advice.

You remain responsible for your business decisions and compliance obligations.

15. Disclaimers

To the maximum extent permitted by applicable law, LogiPulse is provided on an "as available" and "as is" basis.

We do not guarantee that LogiPulse will satisfy every business requirement, produce a particular business result, or operate without interruption or errors.

16. Limitation of Liability

To the maximum extent permitted by applicable law, Novaire Systems will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business opportunities, goodwill, or data arising from or related to use of LogiPulse.

To the maximum extent permitted by applicable law, our aggregate liability arising from your use of LogiPulse will not exceed the amounts paid to Novaire Systems for LogiPulse during the twelve months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

17. Suspension and Termination

We may suspend or terminate an account if you materially violate these Terms, create a security or legal risk, fail to satisfy payment obligations, engage in fraudulent or abusive activity, or where we are legally required to do so.

Where appropriate and legally permitted, we will provide reasonable notice and an opportunity to resolve the issue.

Termination does not eliminate obligations that arose before termination.

18. Changes to These Terms

We may update these Terms from time to time. When material changes are made, we may provide reasonable notice through the service, by email, or by updating the date shown at the top of these Terms.

Your continued use of LogiPulse after an updated version becomes effective constitutes acceptance of the updated Terms to the extent permitted by law.

19. Governing Law

These Terms are intended to be interpreted in accordance with applicable law.

Because mandatory consumer and commercial laws may vary depending on where you are located, nothing in these Terms is intended to remove rights that cannot legally be waived.

21. Entire Agreement

These Terms, together with the LogiPulse Privacy Policy and Refund & Cancellation Policy, form the agreement governing your use of LogiPulse, except where a separate written agreement applies.

If you have entered into a separate written enterprise agreement with Novaire Systems, that agreement will govern where it conflicts with these Terms.
